Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Cofeature LLC, a Washington limited liability company (“Cofeature,” “we,” “us,” or “our”), governing your use of Everbase™ (the “Service”). Everbase is currently in private beta. By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business.

1. Beta access

The Service is offered in a private beta. Access is limited, may be granted or revoked at our discretion, and features may be added, changed, or removed. Beta features may contain defects and may not be as reliable as generally available software. We will make reasonable efforts to give advance notice of significant changes, but we do not guarantee availability, uptime, or preservation of any feature.

2. Your account

You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. Notify us promptly at info@everbase.io if you suspect unauthorized access. You must be at least 18 years old and using the Service for business purposes.

3. Your content and your data

You retain ownership of the content you upload, publish, or generate through the Service, and of the business and customer data you bring to it (together, “Your Data”). You grant us a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Your Data solely to operate and provide the Service to you, to secure it, and to comply with law.

We may generate aggregated and de-identified statistics from use of the Service and may use them to operate and improve our products. Such statistics will not identify you, your business, or any individual, and we will not reconstruct identifiable information from them.

How we handle personal information is described in our Privacy Policy, which is incorporated into these Terms.

4. Artificial intelligence features

The Service uses artificial intelligence to analyze incoming inquiries, extract and categorize information, and prepare suggested content (“AI Features”). This processing runs automatically as messages arrive.

  • Accuracy is not guaranteed. Output from AI Features may be inaccurate, incomplete, out of date, or unsuitable. You are responsible for reviewing any suggested content before you rely on it or send it.
  • You are the sender. Any message you send through or based on the Service is your communication, sent under your business's name. You are solely responsible for its contents, including any statement it makes about your hours, availability, pricing, services, or commitments — whether or not that content originated from an AI Feature.
  • Disclosure to your customers. You are responsible for disclosing your use of AI Features to your customers where applicable law requires it, and for complying with any law governing automated or AI-assisted communications in the places you operate.
  • No professional advice. AI Features do not provide legal, financial, medical, or other professional advice, and must not be used to make decisions about a person's eligibility for or access to services, credit, housing, employment, insurance, or healthcare.

5. Your responsibilities toward your customers

When you use the Service to receive, store, or respond to communications from your customers, you are responsible for the lawfulness of that activity. You represent and warrant that:

  • You have the authority and any consent required to route your customers' communications into the Service and to have them processed as described in the Privacy Policy.
  • You will maintain your own privacy notice covering how you collect and use your customers' information, and will honor requests those individuals make to you.
  • You will send messages only to recipients you are permitted to contact, and will comply with applicable law governing commercial email, text messaging, call recording, and consent — including the CAN-SPAM Act and, where applicable, the Telephone Consumer Protection Act and state consent and recording laws.
  • You will not use the Service to send unlawful, deceptive, harassing, or unsolicited bulk communications.

As between you and Cofeature, you are the party responsible for your customers' information. We process it as a service provider acting on your instructions.

6. Acceptable use

You will not, and will not permit anyone to:

  • Use the Service to violate law or infringe anyone's rights.
  • Reverse engineer, decompile, scrape, or attempt to derive the source code or underlying models of the Service, except where that restriction is unenforceable by law.
  • Probe, scan, or test the vulnerability of the Service, or circumvent its security or access controls.
  • Interfere with or place undue load on the Service or its infrastructure.
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted.
  • Upload malware, or submit content you lack the rights to submit.

7. Third-party services

The Service integrates with third-party platforms, including Google, Meta, and email delivery providers. If you connect a third-party account, you represent that you are authorized to do so, and your use of that platform remains subject to its own terms and policies. We are not responsible for third-party services, and a third party's change, outage, or termination of access may limit or disable related features without liability to us.

8. Fees

The Service is currently provided at no charge during the private beta. We may introduce fees in the future. If we do, we will give you notice before charges apply, and you may decline by discontinuing use.

9. Intellectual property

We and our licensors own the Service, including its software, design, and the Everbase™ and Cofeature names and marks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during the beta. No other rights are granted. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use creates legal or security risk, or if we discontinue the beta. On termination, your right to use the Service ends. You may request an export of Your Data within 30 days of termination, after which we may delete it in accordance with our retention practices.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output — including output of AI Features — will be accurate or suitable.

Marketing performance varies by market, seasonality, competition, and many other factors. Everbase provides tools for execution and measurement; we do not guarantee leads, rankings, revenue, or any other outcome.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limits apply in the aggregate and do not apply to liability that cannot be limited by law.

13. Indemnification

You will defend, indemnify, and hold harmless Cofeature and its officers, members, and agents from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising out of Your Data, your use of the Service, any communication you send using the Service, your relationships with your customers, or your breach of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. You and Cofeature agree to the exclusive jurisdiction of the state and federal courts located in the State of Washington, and each party waives any objection to venue there. Before filing a claim, you agree to contact us at info@everbase.io and attempt to resolve the dispute informally for 30 days.

15. Changes to these Terms

We may update these Terms as the Service changes. We will revise the “Last updated” date above, and for material changes we will provide notice by email or in the product before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Cofeature regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
